The terms that govern every order.
These Terms apply to your use of the duphouse website, your purchase of jewelry, eyewear, watches, bags and apparel, and our OEM/ODM manufacturing services. Prepared with reference to the EU Consumer Rights Directive (2011/83/EU), GDPR, CCPA/CPRA, Hong Kong PDPO and accepted international e-commerce practice.
01Introduction and Acceptance of These Terms
Welcome to duphouse. These Terms and Conditions (“Terms”) govern your access to and use of the duphouse website, your purchase of products from us, and our manufacturing services. By browsing the website, placing an order, submitting an inquiry or otherwise using our services, you agree to be bound by these Terms. If you do not agree with any part of them, please do not use the website or our services.
References to “duphouse”, “we”, “us” or “our” mean [Duphouse Ltd.]. References to “you” and “your” mean the visitor, customer, buyer or client, as applicable.
These Terms apply together with our Privacy Policy and any quotation, order confirmation, sales contract or other written agreement that applies to your transaction. Where a written agreement exists, it prevails over these Terms to the extent of any conflict.
02About Us and Definitions
Duphouse designs, produces and sells jewelry, eyewear, watches, bags and apparel, and offers OEM/ODM manufacturing services to brand owners, distributors and other business clients. Certain capitalized terms used in these Terms have the following meanings:
- “Retail Products” — finished products offered for sale through the website;
- “OEM/ODM Services” — custom manufacturing services, including original equipment manufacturing (OEM) and original design manufacturing (ODM);
- “Order Confirmation” — our written acceptance of an order, including any quotation or sales contract;
- “Site” — the duphouse website and related pages;
- “Content” — text, images, designs, logos, graphics and other materials on the Site.
We are [Duphouse Ltd.], with our registered office at [GuangZhou, China]. If you have any questions, contact us at service@duphouse.com.
03Eligibility
The Site is intended for individuals who are at least 18 years old and for business entities acting through authorized representatives. By using the Site or placing an order, you confirm that you meet these requirements and that all information you provide is accurate and complete.
We may refuse service, cancel orders or close accounts in our reasonable discretion, including where we suspect fraud, unauthorized use, a breach of these Terms, or a legal or regulatory issue with the transaction.
04Products and Services
The Site offers Retail Products across jewelry, eyewear, watches, bags and apparel, and describes our OEM/ODM Services. Product descriptions, specifications, materials, finishes, sizes and availability are provided for information and may change without notice.
We take reasonable care that descriptions and images are accurate. However, colors and textures may vary slightly due to screen settings, lighting and natural variation in materials, and product photographs are illustrative. Each Retail Product is sold subject to its product description and any care instructions provided with it.
Nothing on the Site constitutes an offer capable of acceptance. An order becomes binding only when we accept it as described in Section 6 (retail) or Section 7 (OEM/ODM).
05Website Use, Accounts and Conduct
- Accounts. Where you register an account, you must provide accurate, current and complete information and keep your login credentials secure. You are responsible for all activity that occurs under your account, and you must notify us promptly of any unauthorized use.
- Acceptable use. You agree not to use the Site for any unlawful purpose; not to interfere with its operation or security; not to attempt to access systems or areas without authorization; not to scrape, data-mine or otherwise copy Content for commercial purposes without our prior written consent; not to infringe the rights of others; and not to introduce viruses or other harmful code.
- Suspension. We may suspend or terminate access to the Site or an account where we reasonably consider that these Terms have been breached.
06Orders, Pricing and Payment (Retail)
- Order process. Placing an order constitutes an offer by you. We may accept or decline any order, for example where products are unavailable, pricing is incorrect, or we reasonably suspect fraud or an export or regulatory restriction. A contract for the sale of Retail Products is formed when we send you an Order Confirmation. Placing an item in your cart does not reserve it.
- Pricing. Prices are stated on the Site in the currency indicated and exclude shipping, taxes and duties unless stated otherwise. We may correct pricing errors before accepting an order. If a price is obviously incorrect, we may cancel the affected order and refund any amount paid.
- Payment. Payment is due at checkout through the payment methods offered on the Site. Orders may be subject to authorization and anti-fraud checks. If payment is not completed, we may cancel the order. Any amounts charged in error will be refunded.
07OEM and ODM Manufacturing Services
- Scope. Our OEM/ODM Services cover custom production of jewelry, eyewear, watches, bags and apparel, including customer-specified designs, materials, branding, packaging and labeling (each a “Project”).
- Process. A Project proceeds through inquiry, quotation, sampling, approval and production. An inquiry is not an order. A quotation is valid for the period stated in it. A Project becomes binding only when accepted by us in writing, in an Order Confirmation or sales contract.
- Commercial terms. Prices, minimum order quantities, deposits, lead times, quality standards and delivery terms are set out in the Order Confirmation. Where a deposit applies, production may not begin until the deposit is received, and the balance is payable as agreed. Sample and pre-production costs, if any, are as agreed; where a sample fee is credited against a production order, this will be stated in the Order Confirmation.
- Customer-supplied materials. Where you provide designs, artwork, specifications, molds or materials for a Project, you warrant that you own or are authorized to use them and that they do not infringe any third-party rights, and you grant us a non-exclusive license to use them for the purpose of performing the Project.
- Approval. Where sampling applies, a production run begins only after you approve the sample or specification in writing. You are responsible for reviewing samples and specifications before approval.
- Trade terms. Where Incoterms are stated in the Order Confirmation, risk and cost transfer in accordance with those terms. The buyer is responsible for import licensing and regulatory compliance in the destination market.
No withdrawal right for custom goods. Goods made to your specifications or clearly personalized — including OEM/ODM products — are not subject to the 14-day withdrawal right described in Section 10. This reflects the exception for goods made to the consumer’s specifications or clearly personalised under Article 16(c) of the EU Consumer Rights Directive (2011/83/EU).
08Shipping, Delivery and Risk of Loss
We will use reasonable efforts to dispatch Retail Products within the estimated time shown at checkout or in the Order Confirmation. Estimates are not guaranteed and do not form part of the contract. For OEM/ODM Projects, lead times are as stated in the Order Confirmation.
Risk of loss passes to you when the products are delivered to the carrier (or, for Projects, in accordance with the applicable Incoterms). We are not liable for delays caused by carriers, customs or events outside our reasonable control, but we will assist you in resolving delivery issues.
Please inspect products on receipt and notify us of any damage, shortage or discrepancy within 14 days of delivery, as described in Section 10.
09Taxes, Duties and Customs
Prices shown on the Site generally exclude sales taxes, VAT and import duties. Where we collect taxes at checkout, we do so where required and remit them accordingly.
For international deliveries, you are responsible for any import duties, taxes and customs clearance fees imposed by the destination country, unless otherwise stated at checkout (for example, delivered-duty-paid arrangements). Customs authorities may delay or return packages, and we are not responsible for such actions. You are responsible for complying with your local import laws and for providing accurate delivery information.
10Returns, Refunds and Exchanges
14-day withdrawal right. If you are a consumer in the European Union, the United Kingdom or another jurisdiction that grants an equivalent right, you may withdraw from a distance purchase of Retail Products within 14 calendar days of receiving the goods, without giving a reason. To withdraw, notify us before the period expires. We will refund the price paid and the standard delivery cost within 14 days of receiving the returned goods (or, if earlier, of evidence that you have returned them). You must return the goods within 14 days of notifying us and bear the direct cost of returning them unless we agree otherwise.
- Faulty or incorrect items. If you receive a product that is defective, damaged on arrival or not as ordered, contact our customer service team at service@duphouse.com within 14 days of delivery, with your order number, a description and photos. We will arrange repair, replacement or a refund, as appropriate and as required by applicable law.
- Exceptions to withdrawal. The withdrawal right does not apply to goods made to your specifications or clearly personalized (including OEM/ODM products), to sealed goods that have been unsealed after delivery and are not suitable for return for health or hygiene reasons (for example, certain earrings or eyewear items), or to other categories excluded by applicable law.
- Return conditions. For a refund, goods must be returned in their original condition — unused, with all tags, certificates and packaging — unless they were faulty. We may make a deduction where the value of the goods has diminished because you handled them more than necessary to establish their nature and characteristics.
- Process. Obtain a return authorization from us before returning goods. Refunds are issued to the original payment method. Gift cards and promotional items may be subject to separate terms stated at the time of purchase.
11Warranty and Product Care
- Quality warranty. Our Retail Products are warranted against defects in materials and workmanship for the period stated on the product page or in the accompanying warranty documentation (where no period is stated, [12] months from delivery), to the extent permitted by applicable law.
- Watches. Watch movements are warranted for the period stated in the watch warranty card accompanying the product.
- Exclusions. The warranty does not cover normal wear and tear, damage caused by misuse or accidents, unauthorized repair or alteration, loss or theft, or the natural deterioration of consumable parts (such as straps, batteries or plating) through normal use.
- Remedies. Within the warranty period we will, at our option, repair, replace or refund the affected product, consistent with applicable consumer law. Where repair or replacement is not possible or proportionate, a refund or price reduction applies.
- Care. Please follow the care instructions provided with each product. Precious metal, gemstone and plated items should be kept away from chemicals, perfumes and abrasive surfaces, and removed before swimming, bathing or strenuous activity.
12Intellectual Property
All Content on the Site — including text, product images, designs, logos, graphics, packaging and brand names — is owned by or licensed to duphouse and is protected by intellectual property laws. You may view and print Content for personal, non-commercial use only. You may not reproduce, distribute, modify or create derivative works from Content without our prior written consent.
For OEM/ODM Projects, customer-supplied designs, artwork and trademarks remain the property of the customer or their licensors. Designs that we develop as part of an ODM Project are our property unless otherwise agreed in writing in the Order Confirmation.
13Export Controls and Restricted Sales
We comply with applicable export control and sanctions laws. We may decline orders, suspend service or refuse to ship where we reasonably believe that a transaction would violate applicable law. You agree to comply with all applicable export and import laws of your jurisdiction and ours, and you confirm that the products you purchase are not intended for any use prohibited by those laws.
14Privacy and Your Data
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Site you acknowledge and consent to the processing described there. Where you have not yet been able to review the Privacy Policy, contact us at service@duphouse.com and we will provide a copy. We use cookies and similar technologies as described in the Privacy Policy.
15Third-Party Services and Links
The Site may contain links to third-party websites and may use third-party services, such as payment processors, carriers and analytics providers. We do not control and are not responsible for third-party content, practices or services. Your use of third-party services is subject to their own terms and privacy policies.
16Disclaimer of Warranties
To the extent permitted by applicable law, the Site and its Content are provided on an “as is” and “as available” basis, and we make no warranties regarding the availability, accuracy or completeness of the Site or Content, except as expressly stated in these Terms or in the applicable Order Confirmation. Nothing in these Terms excludes statutory warranties or consumer rights that cannot be excluded by law.
17Limitation of Liability
To the maximum extent permitted by applicable law:
- duphouse is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from or in connection with the Site, Retail Products or Services;
- our aggregate liability arising from or in connection with any transaction is limited to the amount actually paid by you for the relevant order or, for OEM/ODM Projects, to the amount set out in the applicable Order Confirmation;
- nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by our negligence, fraud, or mandatory consumer protection rights.
18Indemnification
You agree to indemnify and hold harmless duphouse and its officers, employees and agents from and against claims, damages, losses and reasonable costs arising from your breach of these Terms, your misuse of the Site, or — in the case of OEM/ODM Projects — any claim that customer-supplied designs, artwork, specifications or materials infringe the rights of a third party.
19Force Majeure
Neither party is liable for delay or failure to perform its obligations (other than payment obligations) where the delay or failure results from events beyond its reasonable control, including natural disasters, war, terrorism, epidemics, government action, embargoes, transport or customs disruptions, and failures of suppliers or third-party networks.
20Governing Law and Dispute Resolution
These Terms and any transactions under them are governed by the laws of [Jurisdiction — e.g., Hong Kong SAR], without regard to its conflict-of-laws principles.
If you are a consumer in the European Union, the United Kingdom or another jurisdiction with mandatory consumer protections, nothing in these Terms deprives you of the protection of the mandatory provisions of the law of your country of habitual residence, and your statutory rights remain unaffected.
We will first seek to resolve any dispute amicably through our customer service team. If a dispute cannot be resolved amicably, it will be submitted to the [courts / arbitration] of [Jurisdiction — e.g., Hong Kong SAR], subject to any mandatory consumer jurisdiction rules that apply to you.
21Changes to These Terms
We may update these Terms from time to time. The current version is indicated by the “Last updated” date at the top of this page. Material changes will be reflected on this page and, where appropriate, notified to you. Your continued use of the Site or placement of new orders after changes take effect constitutes acceptance of the updated Terms, subject to applicable law.
22Severability, Waiver and Assignment
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect. Our failure to enforce a provision is not a waiver of it. We may assign our rights and obligations under these Terms in connection with a reorganization, merger or sale of assets. You may not assign your rights under these Terms without our prior written consent.
